ROPAY LLP(“Company”, “We” or “Us”or“Ropay” and their connotations) operates a website(URL: www.ropay.in), Employer Dashboard and a Mobile Applicationcalled Ropay(together called as “Platform”). Our Platform primarily acts assoftware as a service, we offer users a non-exclusive, non-transferable, revocable license to use for thepayroll processingand salary disbursement.The Platform specifically works with the organisations to help them, providing the employees their salaries and helping the employers in processing the said salaries (hereinafter “Employees and Employer” respectively).
Theseterms and conditions (“Terms”)describe the terms on which the Company grants Users access to the Platformby providing payment solutions to Employers in order to facilitate easy payment to their Employees on regular intervals (hereinafter referred to as “Services”) and shall be read with the privacy policy available on www.ropay.in/privacypolicy(“URL”). The users of the Platform such as Employer, Employees and visitors of the Platform (Collectively referred to as “Users” or “You”). The term “Users” for the purposes of these Terms shall be read as You.
These Terms shallapplyfully to your use of this Platform. By using this Platform, you agreeto accept all terms and conditions writtenin here. You must not use this Platformif you disagree with these Terms.
Minors or people below 18 years old are not allowed to use this Platformand any person below the age of 18 years availing the Services shall be deemed to have obtained parental consent to do so.
License to Use
Company hereby grants you the limited right to access, view and use the Platform only for the purposes of sending payments to Employees.Any rights not expressly granted to you herein are reserved to Company.The Users of the Platform can create and edit content with respect to their user accounts.
The User is offered a non-transferable and non-exclusive license for following uses –•
For accessing the Platform according to the Terms;
The Services offered by the Platform are for the personal use of the visitors; not for reselling, lease or any other purpose.
Functionalities
The Platform includes but is not limitedtofeatures such aspayroll advance, the Employees would have the option to avail Salary earnedfrom the Platform. The Employer grants the Platform with an automatic blanket amount approval of up to80% of the employees previous months net salary, that can be availed by the Employees of an organisationat any time by just clicking on the advance payroll optionavailable on their respective dashboards.The Employees would not have the eligibility to seek an entire month’s salary in advance.
The payroll advancement will be based on the following criteria, based on an estimated algorithm available withthe Company of each Employee.
A). Either through the amount that the Employer would have in their respectivewallet, or
B). Company shall have the ability to pay on behalf of the Employer, the amount shall be decided by the Company as to how much should be advanced towards a particular Employee. In such events, the
Company shall compensate itself by deducting the said amount from the subsequent salary paid to the Employee.
Obligation of the Employer
It is the obligation ofan Employer to keep the Company informed in the event of any terminationof any Employee within seven (3) days from the date of the said termination.
It is the obligation of an Employer to provide all accurate information and upload correct net salaries of the said Employees, the Platform shall not be responsible in the event of any incorrect information uploaded and or incorrect amount credited to any of the said Employee of the organisation.
Restrictionsand Prohibitions of using the Platform
You must comply with the laws that apply to you in the location that you access Company’s Services from. If any laws applicable to you restrict or prohibit you from using the Services, you must comply with those legal restrictions or, if applicable, stop accessing and/or using the Services. You promise that all the information you provide to Company on accessing and/or using the Services is and shall remain true, accurate and complete at all times.
Notwithstanding anything, you are specifically restricted from all of the following:
•publishing any Platformmaterial in any other media;
•selling, sublicensing and/or otherwise commercializing any Platformmaterial;
•publicly performing and/or showing any Platformmaterialwithout the Company’s prior written consent;
•using this Platformin any way that is or may be damaging to this Platform;
•using this Platformin any way that impacts user access to this Platform;
•using this Platformcontrary to applicable laws and regulations, or in any way may cause harm to the Platform,usor to any person or business entity;
•engaging in any data mining, data harvesting, data extracting or any other similar activity in relation to this Platform;
•using this Platformto engage in any advertising or marketing.
•Use the Platform for your personal transactions with your bank account
•Removal, decompiling, disassembling or reversing the Platform or using any network monitoring for determining the architecture of the Platform.
•The user cannot create derivatives or compilations of the Platform’ contents.
•Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, that interferes with any party’s uninterrupted access and use of the Platform or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Platform.
•You will not abuse the rights of the username and password by sharing your username, defacing our Platform, breaching the Platform security or modifying anything in our Platform that is not bounded by the terms of use of your username and password.
•If you provide any information that is untrue, inaccurate, outdated, or incomplete, or if the Company has reasonable grounds to suspect that such information is untrue, inaccurate, outdated, or incomplete, Company may terminate your user account and refuse current or future use of any or all of the Services.
Certain areas of this Platformare restricted from being accessedby you andwemay further restrict access by you to any areas of this Platform, at any time, in absolute discretion. Any user ID and password you may have for this Platformare confidential and you must maintain confidentiality as well.
Organisation Account and Administrators
When you sign up for an account for your organization you may specify one or more administrators. The administrators will have the right to configure the Services based on your requirements and manage employeeaccounts in your organization account.
You are responsible for:
i) ensuring confidentiality of your organizationsaccount password,
ii) appointing competent individuals as administrators for managing your organizationsaccount, and;
iii) ensuring that all activities that occur in connection with your organization account comply with this Agreement.
You understand that wearenot responsible for account administration and internal management of the Services for you.
Company’s Role in Payment Transaction
Company’s is only a facilitator of Payment Transactions.
Company’s is not a party to these Payment Transactions.
Company is not a payments Service Provider.
Company is not a party to and will not be responsible for any disputes, chargebacks or reversals arising pursuant to Payment Transactions.
Company is not responsible for any act of Users, including, non-completion of a Transaction.
Company is neither acting as a trustee nor acting in a fiduciary capacity with respect to any Payment Transaction.
Charges invited would be fulfilled by you and your credit/debit cardof the organisation;
The information submitted by the you should be accurate and complete;
Data uploaded on the Platform
The Users of the platform would be uploading the relevant data with respect to a particular Employee on the Platform, and hence the legality, accuracy and content that shall be uploaded on the Platform would be the data of the Employer and the Employer shall be held responsible for anyunauthorized data uploaded on the Platform.For avoidance of doubt, as a User, you acknowledge that you are responsible for the material submitted by you and for the legality, originality and reliability.
The Employees shall have the ability to make changes to certain information available on the Platform, the Platform availability for the Employer and the employee may differ. Certain functionalities of the Platform may not be necessarily available to Employees whilst the same being accessible by the Employer.
No action or suit shall be bought against the Company for any wrongful data uploaded by the User of the Platform.
While we take utmost care with respect to the security of the information you decide to upload, you understand that any information that you disclose on the Platform is at your own risk, and you
understand that Ropay shall not be held liable or responsible for the loss or damage to such information on the Platform.
User Data
We may maintain certain data that you transmit to the Platform for the purpose of managing the Platform, as well as data relating to your use of the Platform. Youare solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Platform. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of suchdata.
Intellectual PropertyRights
Unless otherwise indicated, the Platform is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Platform (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned by us. Other than the content you own, under these Terms,Weand/or our licensors own all the intellectual property rights and materials contained in this Platform.
Non-transferable Rights
User’s right for using the website is not transferable. Thus, any password or right to access the contents of the website given to particular user cannot be transferred to someone else.
Disclaimer
This Platform and the content, documents and information represented on the Platform areprovided “as they are received,”“as available”, “as-is”basis. The Company, its licensors and affiliates make no representations or warranties of any kind (express, statutory or implied) as to the operation of the Platform, provision of Services or the information, content, materials, or products included on the Platform, or in association with the Services or any third-partywebsites or services. The Company will not be held responsible for any unethical, illegal acts performed by the Users and the action of each of the Users shall be their own responsibility solely.
The Company disclaims any and all warranties, express or implied, including, but not limited to, implied warranties of merchantability, quality of service and fitness for a particular purpose and shall not be responsible for any loss of data, loss of profits or any kind of misuse (statutory or otherwise) by any of its Users individually or during their interaction with each other.
Except as provided above, there are no other warranties, conditions or other terms and conditions, express or implied, statutory or otherwise, and all such terms and conditions are hereby excluded to the maximum extent permitted by law.
Payment Plan
The Platform shall be available to the Employersatacost that will be negotiated based on per head plancaptured in an agreement between the Company and the Employer.
Payment Terms
Any payments made through a valid credit / debit/ cash card/ online bank transfers and otherpayment instruments areprocessed using a third-party payment gateway or an appropriatepayment system infrastructure and the same will also be governed by the terms agreed tobetween the Users and the third-partypayment gateway.We shall not be liable for any unauthorized use, fraud, payment refunds, lost amount, etc., inthe transaction.

Transparency
The Platform works towards providing transparency to the Employees of an organisation. The Employer will provide the net salary of each Employee on the Platform, while the Platform will work towards the break down of the salary for the Employees, which will help them understand their tax obligations and or deductions if any.
Discrepancy in amounts
In the event of any discrepancy in the amount that has been uploaded on the Platform and has been paid to an employee by the employer on the Platform, shall not be bought before the Company and it shall be the sole liability of the employer and the employee to resolve such disputes within themselves. For avoidance of doubt, we do not take any responsibility regarding the discrepancies in the amount generated and/orpaid via the Platform.
Limitation of liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Indemnification
You hereby indemnify to the fullest extentthe Company and its officers, directors,employees and agents from and against any and/or all liabilities, costs, demands, causes of action, damages and expenses,loss and liability along with the reasonable fees of attorney;arising in any way related to your breach of any of the provisions of these Terms, your use of the Platform, breach of your restrictions as set forth in these terms and conditions, your violation of any third party intellectual property rights and any breach of applicable law.
Severability
If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.
Variation and Modification of Terms
The Companyis permitted to revise these Terms at any time as it sees fit, and by using this Platformyou are expected to review these Terms on a regular basis.
We cannot guarantee the Platform will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Platform, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Platform at any time or for any reason without notice to you.
Assignment
TheCompanyis allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.
Entire Agreement
These Terms read along with our Privacy Policy constitute the entire agreement betweenthe Companyand you in relation to your use of this Platform, and supersede all prior agreements and understandings.
Termination
Company may remove, restrict, cancel or suspend access to and/or use of the Service and any part of it, if Company considers (in the sole discretion of Company) that You have breached any of these Terms.
You may also terminate your agreement with Company by ceasing to access the Service, deleting all copies of the Service or part thereof within your control. Termination shall not affect any rights or remedies, which have accrued up to the time of termination.
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the Arbitration and Conciliation Act 1996, or such similar laws of India, which are not in conflict with each other. Such shall be subjected to the exclusive jurisdiction of thecompetent courts of Bangalore, India.
